How the filing works in Iowa
The order below is the order most filers follow. The state filing is the only step with an Iowa fee attached.
- Search the register. Before filing, look the name up on the Iowa Secretary of State site[3]. A name too close to an existing Iowa entity will be rejected.
- Line up the registered agent. The filing lists who receives legal papers for the company. Iowa allows any individual or business with a place of business in Iowa that has agreed to serve.[4]
- File with the state. The document is the Certificate of Organization; the fee is $50, paid to the Iowa Secretary of State[2].
- Put the owners' terms in writing. An operating agreement records who owns what share and who manages the company. The Iowa filing itself does not include it.
- Request an EIN. This federal tax number comes from the IRS, not from Iowa, and most banks ask for it before opening an account.
- Calendar the first Biennial Report. It is filed every two years with the Iowa Secretary of State, Business Services Division for $30[5]. It is due April 1 of odd-numbered years[6].
What gets filed: Certificate of Organization
Iowa calls its formation filing the Certificate of Organization. The Iowa Secretary of State accepts it[2].
From the statute:
One or more persons may act as organizers to form a limited liability company by delivering to the secretary of state for filing a certificate of organization.
Iowa Code § 489.201[2].
Acceptance puts the company on the Iowa register. Anything listed on the filing, such as the registered agent's address, becomes part of the public record.
What it costs to form an LLC in Iowa
Iowa's $50 filing fee is below the 50-state median of $100: 3 states charge less and 40 charge more.

How many new businesses Iowa sees
Iowa logged 35,038 business applications in 2025 by the Census Bureau's count, 10.82 for every 1,000 residents. From January through Sep 2026 there were 30,457, against 26,809 in the same months of 2025.
An application is a request for an EIN, not a state LLC filing. The Census series counts every legal form, so it measures start-up activity rather than Iowa LLC formations.
Who can submit the filing
With Mainstay Filing, the Iowa filing is prepared and submitted for you. Its price is $199 a year plus the state's $50[1], and that yearly price also covers the registered agent, the EIN application and every Biennial Report.
Owners can submit the Iowa filing themselves at sos.iowa.gov. The fee is $50 whoever files.
